These Terms of Service (“Terms”) form a binding agreement between ValidBuzz Inc. (“ClipRider”, “we”, “us”, or “our”) and you (“User”, “you”, or “your”). By creating an account, accessing, or using the ClipRider platform, application, website, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service.
1. Accounts & Responsibilities You must provide accurate information when creating an account. You are responsible for maintaining account confidentiality and all activities under your account. You agree to notify us immediately of any unauthorized access or suspected breach. We reserve the right to suspend or terminate accounts that violate these Terms or harm the platform. If terminated for misconduct, you may not re-register without written authorization.
2. User Content & Ownership You retain ownership of all video files, media, and assets uploaded (“Content”). You grant ClipRider a limited, non-exclusive, worldwide license to process, store, transcode, edit, analyze, and transmit Content solely to provide the Service. We do not claim ownership of Content and do not sell or commercially exploit it. You are responsible for ensuring you have rights to the Content uploaded. We may remove Content that: violates law infringes copyright harms or threatens others violates platform rules
3. AI & Processing You agree that: Content may be processed using automated or AI-based tools Processing is required to deliver the Service We may analyze anonymized data to improve performance We will not sell your videos or personal information.
4. Marketing & Communications You may receive: service updates marketing messages account notifications You may unsubscribe from marketing at any time. Critical notices (security, billing, service updates) cannot be opted out.
5. Feedback & Suggestions By submitting suggestions or feedback, you grant ValidBuzz Inc. a perpetual, royalty-free license to use them without compensation or obligation.
6. Fees & Billing Free tiers and trials may be offered. Paid plans require valid payment. All charges are final unless stated otherwise. We may modify pricing with prior notice. Taxes and processor fees may apply. Payment is processed by trusted third parties such as Stripe.
7. Subscription & Cancellation Monthly plans renew automatically unless canceled before renewal. Annual plans commit for one year and renew unless canceled. Cancellation affects future billing but not past charges.
8. Refund Policy Refund eligibility: Monthly subscriptions: non-refundable once processed. Annual subscriptions: refundable within 72 hours if: less than 10% of minutes used, and premium features not used substantially. We may offer discretionary refunds for service disruptions.
9. Service Availability & Changes We aim for high uptime; however: maintenance, outages, and force majeure may occur We may modify or discontinue features at any time. We are not liable for interruptions outside reasonable control.
10. Acceptable Use You agree NOT to: reverse engineer, scrape, or bypass security overload servers or interfere with the Service upload illegal, malicious, or infringing content impersonate others use automated bots to create accounts Violation may result in termination.
11. Intellectual Property ClipRider’s trademarks, platform code, branding, and technology remain property of ValidBuzz Inc. Use of the Service grants no ownership or license beyond these Terms.
12. Third-Party Tools The Service may integrate third-party tools or links. We are not responsible for external content or availability. Use of third-party platforms is at your own risk.
13. Beta Features From time to time, we may release beta or experimental features. Such features are provided “as-is” without warranty and may be modified or removed.
14. DMCA / Copyright If you believe Content violates copyright laws, send a takedown request to: ankithsh@validbuzz.com Provide: your contact details description of copyrighted work URL of infringing content statement of good-faith belief We may remove or disable access accordingly.
15. Warranty Disclaimer The Service is provided “as-is” and “as-available.” We do not guarantee: error-free operation uninterrupted availability suitability for a particular purpose Use of the Service is at your sole risk.
16. Limitation of Liability To the fullest extent permitted by law: ValidBuzz Inc. is not liable for indirect or consequential damages. Maximum liability shall not exceed the amount paid in the prior six (6) months or $100, whichever is greater.
17. Indemnification You agree to indemnify and hold ValidBuzz Inc. harmless from claims arising from: misuse of the Service violation of these Terms infringement of third-party rights illegal or harmful content
